Terms of Service
The legal agreement between you and SpeyBooks.
Plain language: We've tried to write these terms clearly. The legally binding text is below, but the intent is simple — you pay for the service, we provide it reliably, your data belongs to you, and we both act reasonably.
1. The Agreement
These Terms of Service ("Terms") are a legal agreement between you and SpeyTech, a company registered in Scotland ("SpeyBooks", "we", "us", "our"). By creating an account or using SpeyBooks, you agree to these Terms.
If you're using SpeyBooks on behalf of a business, you confirm you have authority to bind that business to these Terms.
If you don't agree to these Terms, don't use SpeyBooks.
2. Your Account
To use SpeyBooks, you need an account. When you create one:
- • Provide accurate information and keep it updated
- • Keep your password secure — we recommend a password manager
- • Enable two-factor authentication if you're handling sensitive data
- • Tell us immediately if you suspect unauthorised access
You're responsible for all activity on your account. If someone else uses your credentials, you're still responsible unless you've notified us of a compromise.
3. The Service
SpeyBooks is cloud-based accounting software. We provide:
- • Double-entry bookkeeping with UK VAT support
- • Invoice and quote generation
- • Financial reports (P&L, Balance Sheet, Trial Balance)
- • API access for automation and integration
- • Data export in standard formats
What we're not: SpeyBooks is software, not advice. We don't provide financial, tax, or legal advice. For that, consult a qualified accountant or solicitor. You're responsible for the accuracy of data you enter and decisions you make based on it.
4. Subscriptions & Billing
Plans and Pricing
SpeyBooks offers paid subscription plans. Current pricing is published at speybooks.com/pricing. Prices are in GBP and include VAT where applicable.
Billing Cycle
Subscriptions are billed monthly in advance. Your billing date is the day you first subscribed. Payments are processed via Stripe.
Price Changes
We may change prices with 30 days' notice. Existing subscriptions continue at the old price until renewal after the notice period. If you don't accept a price increase, you can cancel before it takes effect.
Failed Payments
If a payment fails, we'll retry and notify you. After 14 days of failed payments, we may suspend your account. Your data remains intact — pay the outstanding amount to restore access.
Refunds
We don't offer refunds for partial months. If you're unhappy with SpeyBooks within the first 14 days, contact us and we'll refund your first payment in full.
5. API Usage
All plans include API access. When using the API:
- • Keep API keys secure — treat them like passwords
- • Respect rate limits (100 requests per minute by default)
- • Don't share API keys or access with third parties without their own agreement with us
- • Use idempotency keys for write operations to handle retries safely
We may suspend API access if you consistently exceed rate limits or use the API in ways that degrade service for other users.
6. Your Data
Ownership
Your data belongs to you. We don't claim any ownership of the financial records, contacts, invoices, or other data you store in SpeyBooks.
What We Do With It
We process your data solely to provide the service. We don't sell your data, use it for advertising, or share it with third parties except as described in our Privacy Policy and Sub-processors list.
Export
You can export your data at any time via the API or in-app export functions. We support standard formats (CSV, JSON). Your accounting data should never be locked in.
Deletion
When you close your account, we delete your data within 30 days. Some data may be retained longer if required by law (e.g., for tax compliance) or to resolve disputes.
Backups
We maintain backups for disaster recovery. Backups are encrypted and stored in the UK. Deleted data is purged from backups within 30 days.
7. Acceptable Use
Use SpeyBooks for legitimate accounting purposes. Don't:
- • Use it for illegal activities or to store records of illegal transactions
- • Attempt to access other users' data or accounts
- • Probe, scan, or test vulnerabilities without permission
- • Interfere with or disrupt the service
- • Resell or redistribute SpeyBooks without written agreement
If you find a security vulnerability, please report it to support@speybooks.com with “SECURITY” in the subject line.
8. Service Availability
We aim for high availability but don't guarantee 100% uptime. Sometimes things break. When they do:
- • We'll update our status page
- • We'll work to restore service as quickly as possible
- • We'll communicate clearly about what happened
Scheduled maintenance will be announced in advance where possible. We try to schedule maintenance outside UK business hours.
9. Limitation of Liability
To the maximum extent permitted by law:
- • SpeyBooks is provided "as is" without warranties of merchantability or fitness for a particular purpose
- • We're not liable for indirect, incidental, special, consequential, or punitive damages
- • Our total liability is limited to the amount you paid us in the 12 months before the claim
Important: You're responsible for your tax filings, compliance obligations, and business decisions. SpeyBooks is a tool — the responsibility for using it correctly is yours.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Termination
By You
You can cancel your subscription at any time from your account settings. Access continues until the end of your billing period. Export your data before cancelling.
By Us
We may suspend or terminate your account if you:
- • Violate these Terms
- • Fail to pay for 14+ days after notification
- • Use the service for illegal purposes
We'll give reasonable notice where possible and explain why. In cases of serious violation (fraud, security breach), we may terminate immediately.
After Termination
You can still export your data for 30 days after termination (unless terminated for serious violation). After 30 days, data is deleted.
11. Changes to Terms
We may update these Terms. When we do:
- • We'll notify you by email at least 30 days before material changes take effect
- • The "Last updated" date at the top will change
- • Continued use after the effective date means you accept the new Terms
If you don't agree to updated Terms, you can cancel your account before the changes take effect.
12. Governing Law
These Terms are governed by the laws of Scotland. Any disputes will be resolved in the Scottish courts. If you're a consumer, you may also have rights under the laws of your country of residence.
For EU/UK consumers: Nothing in these Terms affects your statutory rights under consumer protection legislation.
